1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the website located at takeflightstudios.ca (the “Site”), any demo website generated for you or a business you represent, and any web design, hosting, or related services (collectively, the “Services”) provided by Take Flight Studios, a business based in West Perth, Ontario, Canada (“Take Flight Studios,” “we,” “us,” or “our”). By accessing the Site, viewing a demo website we created, or purchasing a plan, you (“you,” “Client,” or “Customer”) agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.
2. Description of Services
Take Flight Studios provides done-for-you website design, hosting, and related services for trades and service businesses, including: Free Demo Websites: a complimentary, single-page website concept built on a Take Flight Studios-owned subdomain and shared for preview purposes only. Pay Monthly: a custom website on your own domain, designed and built by us and paid for over a 12-month plan at $299 per month, with no upfront cost. The monthly fee covers the build ($200 per month) and the Care Plan ($99 per month). Own It Outright: a custom website on your own domain, designed and built by us for a one-time fee quoted per project (from $2,500). The Care Plan: hosting, security, SSL, updates, and support for $99 per month, month-to-month. It is included in Pay Monthly and available to add to Own It Outright. The Growth Add-On: monthly search engine optimization (SEO) adjustments, seasonal campaigns and offers, and periodic growth reviews for $150 per month, month-to-month, available with either plan. Custom Packages: projects beyond a simple marketing website, such as online stores or work on other platforms, quoted separately in writing. We may modify, rename, or discontinue any plan, or introduce new plans, at our discretion, with notice to active clients before changes take effect on their account.
3. Free Demo Websites
3.1 Free demo websites are provided for evaluation purposes only, remain live for a limited period (currently 14 days from creation, unless otherwise stated), and do not include domain connection, ongoing support, or any guarantee of continued availability. 3.2 Demo websites are created using publicly available factual information about a business (such as its name, address, phone number, listed services, and factual claims like review counts), combined with original design, layout, and copy created by Take Flight Studios or generated with the assistance of AI tools. We do not reproduce a business’s existing creative content, images, or logos without permission. 3.3 Each demo website includes a visible disclaimer identifying it as an unofficial concept created by Take Flight Studios for demonstration purposes, stating that it is not affiliated with, sponsored by, or endorsed by the business it references, and providing a direct means of contacting us to request removal. 3.4 If you are the subject of a demo website and did not request it, you may request its immediate takedown at any time by emailing info@takeflightstudios.ca. We will honor takedown requests promptly. 3.5 Demo websites may be generated with the help of third-party AI website-building tools. We review demo output before it is shared, but as with any AI-assisted content, we make no guarantee that it is error-free, and we do not warrant its accuracy, completeness, or fitness for any particular purpose until it has been reviewed and approved as part of a paid plan.
4. Paid Plans, Billing, and Term
4.1 Prices are as listed on the Site or in your written quote. All prices are in Canadian dollars (CAD) and include HST. Monthly fees are billed monthly in advance using the payment method on file. 4.2 Pay Monthly is a 12-month plan at $299 per month, made up of $200 per month toward the build and $99 per month for the Care Plan. There is no upfront cost. 4.3 You may cancel Pay Monthly at any time by paying out the remaining build balance: $200 for each month remaining in the 12-month plan. Care Plan fees are not charged for the months after cancellation. 4.4 After 12 monthly payments, the build is paid in full and your plan continues on the Care Plan at $99 per month unless you cancel it. 4.5 Own It Outright is a one-time build fee, quoted in writing before work begins and paid as set out in that quote. Hosting, maintenance, and support are not included unless you add the Care Plan. 4.6 The Care Plan and the Growth Add-On are month-to-month, have no minimum term, and may be canceled at any time, effective at the end of the current billing cycle. 4.7 Failure to pay a fee when due may result in suspension of the website and associated services until payment is received. 4.8 We may change plan pricing with at least 30 days’ notice to active clients. A price change does not affect the build portion of a Pay Monthly plan already in progress. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.
5. Ownership, Domains, and Handoff
5.1 Your domain is always yours. We will transfer it to you or to a provider of your choice on request, at no additional cost. 5.2 With Own It Outright, the website is yours once the build fee is paid. With Pay Monthly, the website is yours once all 12 build payments are made, or sooner if you pay out the remaining build balance under Section 4.3. 5.3 Once the website is yours, we will hand it off to you or help move it to another provider on request, at no additional cost. Until then, the website remains on our hosting. 5.4 We are not responsible for delays, downtime, or configuration issues caused by third-party domain registrars, DNS providers, or hosting services outside our direct control, though we will provide reasonable assistance to resolve such issues.
6. Intellectual Property
6.1 Once the website is yours under Section 5.2, you own the final design and content created for your website. Underlying templates, frameworks, code libraries, and design systems developed by Take Flight Studios remain our property and may be reused across other client projects; we grant you a perpetual, non-exclusive license to use them as part of your website. 6.2 You represent that any content, images, logos, or copy you provide to us for use in your website are either owned by you, properly licensed to you, or otherwise lawful for you to use, and you agree to indemnify us against claims arising from content you supply. 6.3 We will not knowingly reproduce another business’s copyrighted creative content, brand assets, or trademarked logos in any demo or paid website without authorization. Where a demo references a third-party business by name for identification purposes, this is a factual, nominative reference only and does not imply affiliation or endorsement.
7. Communications and Marketing
7.1 If you receive outreach from us by email, it will include accurate sender identification, a valid contact address, and a working opt-out or unsubscribe mechanism, in accordance with Canada’s Anti-Spam Legislation (CASL) and, where applicable, the U.S. CAN-SPAM Act. 7.2 You may opt out of marketing communications from us at any time using the unsubscribe link provided or by emailing info@takeflightstudios.ca. Opt-out requests will be honored promptly.
8. Disclaimers and Limitation of Liability
8.1 THE SERVICES AND ANY DEMO OR PAID WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAKE FLIGHT STUDIOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 8.2 We are not liable for indirect, incidental, special, or consequential damages, including loss of business, revenue, or data, arising from your use of the Services or any website we build, host, or maintain, except where such liability cannot be excluded by law. 8.3 Our total liability to you for any claim arising from the Services is limited to the total amount you paid to us in the 3 months preceding the event giving rise to the claim. 8.4 Some website functionality may rely on third-party platforms (such as payment processors or hosting providers). We are not responsible for outages, errors, or policy changes originating from those third parties.
9. Termination
9.1 We may suspend or terminate your access to the Services if you fail to pay fees when due, violate these Terms, or use the Services for unlawful purposes. 9.2 Upon termination for any reason, outstanding fees remain due, and the ownership and handoff terms in Section 5 continue to apply based on payments already completed.
10. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on the Site with an updated effective date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
